Terms of Service
These terms govern how organizers and ticket buyers use the Nalo Seats platform. Please read them before you sell or buy a ticket.

1. Acceptance of these terms
Nalo Seats is a ticketing platform operated by Nalo Seed. By creating an account, selling tickets, or buying tickets through the platform, you agree to these Terms of Service. If you do not agree, please do not use the platform. If you are agreeing on behalf of an organization, you confirm you are authorized to bind that organization to these terms.
2. What Nalo Seats is
Nalo Seats lets event organizers build a storefront, sell reserved or general-admission tickets, manage seating and discount codes, scan tickets at the door, and receive payouts. We provide the software and the payment plumbing. We are not the promoter, producer, or host of any event, and we do not own or control the events sold on the platform.
3. Accounts
Organizers must provide accurate account and payout information and keep it current. You are responsible for activity under your account and for keeping your login credentials secure. Tell us promptly at hello@naloseats.com if you believe your account has been accessed without your permission.
4. Organizer responsibilities
Organizers are solely responsible for their events and for the accuracy of every listing, including dates, times, venue, seating, prices, and the terms of sale. Organizers set their own refund, exchange, and cancellation policies and must honor them. Organizers are responsible for delivering the event as advertised, for compliance with applicable laws and venue rules, and for any taxes owed on ticket sales. You may not list events that are unlawful, fraudulent, or that you are not authorized to sell.
5. Payments and fees
Card payments are handled by our payment processor, Stripe. Full card details are entered with Stripe and never touch Nalo Seats servers. Nalo Seats charges organizers a per-ticket platform fee, disclosed before an event goes live. Standard card-processing fees charged by the payment processor are separate and are the organizer's responsibility, though an organizer may choose to pass them through to buyers at checkout. Payouts are made to the organizer's connected account on the processor's schedule.
6. Refunds and cancellations
Refund, exchange, and cancellation policies are set by each organizer and are shown to buyers at checkout. Nalo Seats does not issue refunds on an organizer's behalf except where required by law or as agreed with the organizer. If an event is canceled or materially changed, the organizer is responsible for handling refunds under their stated policy. Buyers should contact the organizer they purchased from with any refund request.
7. Acceptable use
You agree not to misuse the platform. That includes attempting to breach security, scraping or overloading the service, interfering with other users, reselling access in violation of an organizer's terms, uploading unlawful or infringing content, or using the platform to deceive buyers. We may suspend or remove any account or listing that violates these terms.
8. Intellectual property
The Nalo Seats platform, including its software, design, and marks, is owned by Nalo Seed and protected by law. Organizers retain ownership of the content they upload, such as event titles, descriptions, and images, and grant Nalo Seats a limited license to host and display that content for the purpose of operating the platform. You are responsible for having the rights to any content you upload.
9. Disclaimers
The platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the platform will be uninterrupted or error-free. Nalo Seats is not responsible for the events themselves, their quality, or their delivery, which are the responsibility of the organizers.
10. Limitation of liability
To the fullest extent permitted by law, Nalo Seed and Nalo Seats will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of your use of the platform. Our total liability for any claim relating to the platform will not exceed the platform fees you paid to Nalo Seats in the three months before the claim arose.
11. Termination
You may stop using the platform at any time. We may suspend or terminate access if you violate these terms, if required by law, or if we discontinue the service. Obligations that by their nature should survive termination, such as payment obligations and the limitation of liability, will survive.
12. Governing law
These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Any dispute that is not resolved informally will be brought in the state or federal courts located in Travis County, Texas, and you consent to that jurisdiction.
13. Changes to these terms
We may update these terms from time to time. When we make a material change, we will update the date below and, where appropriate, notify organizers. Continuing to use the platform after a change means you accept the updated terms.
